Terms of Use

These Terms of Service ("Terms" or "Agreement") constitute a binding agreement between you ("Affiliate", "you", "your") and IT Global Services SRL ("ISPROXY," "we," "us," or "our"). This Agreement governs your participation in our affiliate program and use of our website ("Site" or "Sites") and the related products, content, and services ("Services"). By maintaining your affiliate relationship with us, you acknowledge that you have read, understood, and agree to be bound by these Terms. We may modify these Terms at any time, and your continued participation constitutes acceptance of the updated Terms.
If you do not agree with any part of this Agreement, you must immediately discontinue use of our Sites and Services. We encourage you to consult with an attorney at your own expense should you require clarification of any provision herein.
1. Privacy Policy
Our collection and use of your personal data are governed by our Privacy Policy, which is incorporated into this Agreement by reference. Please review our Privacy Policy to understand how we manage your information.
2. Access and Passwords
You are responsible for maintaining the confidentiality of your account login credentials. Any activities under your account are deemed to be carried out by you. You must immediately notify us if you suspect unauthorized access to your account.
3. Representations and Warranties
By participating in our program, you represent and warrant that:
- You are of legal age in your jurisdiction (minimum 18 years old).
- You have full legal authority to enter into this Agreement.
- All information provided by you is true, accurate, and up-to-date.
- You will use the Services in compliance with all applicable laws.
- You are not accessing the Services from a jurisdiction that prohibits such activities.
4. Payments and Commissions
- Payments are issued approximately 30 days after each earnings period (1st–15th, and 16th–end of the month).
- Payment methods and associated risks are your responsibility.
- Minimum payout is $100 unless otherwise specified by the chosen payment method.
- Payments are made in U.S. Dollars (USD).
- Chargebacks or fraudulent activity will result in adjustments or forfeiture of commissions.
- Referrals of oneself or multiple accounts are strictly prohibited.
- Referral program rewards are conditional and subject to active participation requirements.
- Inactive accounts (90+ days) may forfeit unpaid earnings.
5. Restrictions
You are granted a limited, non-transferable, revocable license to use our marketing tools solely for promoting approved offers. You may not:
- Alter or modify our ads and creatives without permission.
- Engage in misleading, spammy, or illegal advertising practices.
- Use our brands or trademarks in unauthorized domain names, ads, or search engine bidding.
- Promote offers in restricted jurisdictions or to minors.
- Engage in any activity that infringes third-party rights or violates applicable laws.
6. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information, including communications, account details, and payout structures, except where disclosure is legally required.
7. Accuracy and Availability of Information
We make reasonable efforts to ensure the accuracy of the information provided on our Sites but do not warrant its completeness, timeliness, or availability. All services and content are provided "as is" without warranties of any kind.
8. Affiliate E-Mail Code of Conduct
All affiliate email marketing must comply with applicable laws (including CAN-SPAM and CASL) and industry best practices. You must maintain evidence of consent for all recipients and promptly process opt-out requests.
9. Consent to Electronic Communications
By participating in the program, you consent to receive notices and communications electronically. Notices are deemed received 24 hours after they are sent by email or posted on the Site.
10. Taxes
You are responsible for complying with applicable tax laws. If required, appropriate taxes such as GST or QST will be applied. Please notify us immediately if your tax status changes.
11. Limitation of Liability
In no event shall IT Global Services SRL be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount of commissions paid to you in the preceding six (6) months.
12. Indemnity
You agree to indemnify and hold harmless IT Global Services SRL from any claims, damages, or expenses arising from your breach of this Agreement or violation of applicable law.
13. Governing Law and Dispute Resolution
This Agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts located in London, United Kingdom.
14. Amendments
We reserve the right to modify this Agreement at any time by posting an updated version on our Sites. Continued participation constitutes acceptance of the revised Terms.
15. Force Majeure
Neither party shall be liable for any failure or delay resulting from causes beyond their reasonable control, including acts of God, natural disasters, terrorism, strikes, or governmental action.
16. Termination
Either party may terminate this Agreement at any time with seven (7) days' notice. We may suspend or terminate your participation immediately for cause, including breach of this Agreement or applicable laws.
17. General Provisions
This Agreement constitutes the entire agreement between you and IT Global Services SRL regarding your participation in our affiliate program. No waiver of any provision shall be deemed a further or continuing waiver of such provision.
